On 01/07/2007, Nestlé officially completed its acquisition of the Medical Nutrition division of Swiss pharmaceutical company Novartis in a transaction valued at approximately US$2.5 billion, equivalent to around CHF 3.03 billion at the time. The acquisition followed regulatory approvals and represented a major expansion of Nestlé’s nutrition and healthcare focused business activities.
The acquired division specialized in clinical and therapeutic nutrition products used in hospitals, healthcare facilities, and specialized dietary programs. Among the most prominent brands included in the transaction were Boost nutritional drinks, Resource clinical nutrition products, and the Optifast weight management range. These products were widely used for medical nutrition support, recovery diets, elderly nutrition, and weight management programs.
The acquisition added operations in more than 40 countries to Nestlé’s global nutrition business. Approximately 2,000 employees transferred from Novartis to Nestlé as part of the integration process. The business became incorporated into Nestlé Nutrition, strengthening the company’s position in specialized healthcare related nutrition products.
Nestlé executives described the transaction as part of a broader long-term strategy to expand beyond conventional packaged foods into science-based nutrition and health sectors. During the mid-2000s, Nestlé increasingly focused on products linked to wellness, disease management, and specialized dietary needs, areas viewed as offering higher growth potential than many traditional food categories.
Novartis, meanwhile, chose to divest the Medical Nutrition business as part of efforts to concentrate more heavily on its pharmaceutical and core healthcare operations. The sale reflected a wider trend in which multinational corporations streamlined portfolios to focus on strategic sectors with stronger long-term alignment.
Industry analysts viewed the acquisition as a significant move in the evolving medical nutrition market, where demand was increasing because of aging populations, chronic disease management, and growing interest in nutrition-based healthcare solutions. The deal also strengthened Nestlé’s presence in hospital nutrition and clinical care environments, areas traditionally associated more closely with pharmaceutical and healthcare companies than mainstream food manufacturers.
The transaction preceded several later healthcare and nutrition science investments by Nestlé, including the eventual creation of Nestlé Health Science and further acquisitions in clinical nutrition and specialized medical foods.
