On September 29, 2006, Royal Philips Electronics completed the sale of an 80.1% controlling stake in its semiconductor division to a private equity consortium led by Kohlberg Kravis Roberts & Co. (KKR), alongside Silver Lake Partners, Bain Capital, Apax Partners, and AlpInvest Partners. The transaction valued the business at approximately €8.3 billion and resulted in the formation of NXP Semiconductors, an independent semiconductor company headquartered in the Netherlands. Philips initially retained a 19.9% ownership interest while receiving approximately €6.4 billion in net cash proceeds. The divestment represented a major strategic restructuring, allowing Philips to concentrate its resources on healthcare technology, lighting solutions, and consumer lifestyle products.
The separation of Philips' semiconductor business became one of the most significant milestones in the company's transformation into a more focused international technology enterprise. The division had developed advanced electronic components for more than five decades, contributing to innovations in integrated circuits, communications technology, consumer electronics, and automotive systems. As an independent company, NXP gained greater flexibility to pursue semiconductor research, manufacturing, and international partnerships, eventually becoming an important supplier of automotive, industrial, and secure connectivity technologies. For Philips, the transaction provided substantial financial resources to support investments and acquisitions in medical imaging, patient monitoring, home healthcare, and energy-efficient lighting. The 2006 divestment helped lay the foundation for Philips' long-term transition away from traditional consumer electronics toward healthcare technology and connected medical solutions.
